1. Acceptance of Terms
By accessing or using the services provided by AgentVoice LLC (“AgentVoice,” “we,” “us,” or “our”), including our website and AI voice platform (collectively, the “Services”), you (“User,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree to these Terms, do not use the Services.
2. Services Provided
2.1 Platform Access
AgentVoice offers a dashboard for creating and managing AI voice agents, utilizing third-party services such as Twilio for phone number provisioning. Users can customize agents and have access to our API for integration purposes.
2.2 Professional Services
For enterprise or custom engagements, we may provide additional setup or specialized services. Details and fees for these services will be outlined in separate agreements, which supersede any conflicting terms herein.
3. User Responsibilities
3.1 Compliance with Laws
Users must comply with all applicable federal, state, and local laws, including but not limited to the Telephone Consumer Protection Act (TCPA) and the Telemarketing Sales Rule (TSR). This includes obtaining prior express written consent before making automated or prerecorded calls and honoring the National Do Not Call Registry.
3.2 AI-Generated Voice Disclosure (Outbound Calls)
Users must adhere to all applicable laws and regulations when utilizing AI-generated voices for outbound calls. Under the Federal Communications Commission (FCC) Declaratory Ruling FCC 24-17, AI-generated voices are classified as artificial or prerecorded voices under the Telephone Consumer Protection Act (TCPA), subjecting them to specific requirements:
- Consent Requirement: Users must obtain prior express consent from the called party before initiating an outbound call using an AI-generated voice, unless an exemption applies.
- Caller Identification: As per 47 CFR § 64.1200(b)(1), outbound calls using an artificial or prerecorded voice must clearly state the identity of the business, individual, or entity responsible for initiating the call at the beginning of the message.
- Disclosure of AI Usage: While the FCC’s current regulations do not explicitly require disclosing the use of AI-generated voices during calls, a Notice of Proposed Rulemaking (NPRM) released on August 7, 2024 proposes that callers using AI-generated content must:
- Disclose at the beginning of the call that AI technology is being used.
- Obtain specific consent that explicitly agrees to the use of AI in the call or text.
- Provide clear and conspicuous disclosures to ensure the recipient is aware of the AI usage.
3.3 Prohibited Conduct
- Use the Services for fraudulent or deceptive practices.
- Impersonate individuals without their consent.
- Engage in activities that violate any laws or regulations.
3.4 International Number Usage and Regional Compliance
3.4.1 General International Compliance
When using phone numbers from any country or region through the Services, Users are solely responsible for complying with all applicable laws, regulations, and telecommunications requirements in:
- The country where the phone number is registered
- The country from which calls are placed
- The country where call recipients are located
- Any country through which telecommunications traffic may transit
3.4.2 Regional Registration Requirements
Many countries require specific business registration, physical presence, or address verification for phone number provisioning. Users acknowledge and agree that:
- Address Verification: Certain regions require a verified business address within the country to obtain local phone numbers. Users must provide accurate and verifiable address documentation when required.
- Local Business Registration: Some countries (including but not limited to Mexico, Brazil, Singapore, Hong Kong, Japan, and Israel) require local business registration or incorporation. Users must have valid local business credentials before provisioning numbers in these regions.
- Documentation: Users must provide all required documentation, which may include business licenses, tax identification numbers, proof of address, and other regulatory documents as required by local authorities.
3.4.3 International Calling Regulations
Users must comply with international telecommunications regulations, including but not limited to:
- European Union: Compliance with the General Data Protection Regulation (GDPR) and the ePrivacy Directive, including obtaining appropriate consent for automated calling and maintaining required records.
- United Kingdom: Adherence to Ofcom regulations and the Privacy and Electronic Communications Regulations (PECR).
- Canada: Compliance with the Canadian Anti-Spam Legislation (CASL) and CRTC regulations regarding automated calling.
- Australia: Adherence to the Do Not Call Register Act and the Spam Act 2003.
- Other Jurisdictions: Compliance with all local telecommunications laws, consumer protection regulations, and privacy requirements in any country where Services are utilized.
3.4.4 User Representations and Warranties
By using international phone numbers through the Services, Users represent and warrant that they:
- Have obtained all necessary licenses, permits, and authorizations required to use telecommunications services in the relevant jurisdictions
- Will maintain accurate records of consent and comply with opt-out requests as required by local laws
- Will not use the Services to circumvent or evade telecommunications regulations in any jurisdiction
- Will immediately cease using Services in any jurisdiction where their use becomes prohibited or restricted
- Have verified that their intended use case is permitted under local laws and regulations
3.4.5 Disclaimer of Liability for International Usage
IMPORTANT: AgentVoice provides the technical platform and access to third-party telecommunication services but does not provide legal advice regarding international telecommunications law. Users acknowledge that:
- AgentVoice makes no representations or warranties regarding the legality of any particular use case in any jurisdiction
- Users are solely responsible for determining whether their use of the Services complies with applicable laws
- AgentVoice strongly recommends consulting with qualified legal counsel familiar with telecommunications regulations in each relevant jurisdiction before using international numbers
- AgentVoice is not responsible for any penalties, fines, legal actions, or other consequences resulting from User’s non-compliance with international or local regulations
3.4.6 Service Restrictions and Suspension
AgentVoice reserves the right to:
- Restrict or suspend access to phone numbers in specific countries or regions without prior notice
- Require additional documentation or verification for certain jurisdictions
- Terminate Services immediately if we become aware of any violation of international telecommunications regulations
- Report violations to appropriate regulatory authorities as required by law
- Modify available regions based on changes in international law or third-party provider restrictions
3.4.7 Indemnification for International Usage
Users specifically agree to indemnify and hold harmless AgentVoice from any claims, penalties, fines, or legal actions arising from their use of international phone numbers, including but not limited to violations of telecommunications regulations, privacy laws, consumer protection laws, or any other applicable regulations in any jurisdiction.
4. Payment Terms
4.1 Subscription Fees
Access to the platform is provided on a monthly subscription basis. Enterprise clients may incur additional fees for custom services, as outlined in separate agreements.
4.2 Payment Method
Users must provide a valid credit card for payment. By providing payment information, you authorize AgentVoice to charge the provided payment method for all applicable fees.
4.3 Late Payments
Failure to make timely payments may result in suspension or termination of Services. AgentVoice reserves the right to charge late fees as permitted by law.
5. Intellectual Property
5.1 Ownership
AgentVoice retains all rights, title, and interest in and to the Services, including all related intellectual property rights.
5.2 User Content
Users retain ownership of any content they create using the Services. By using the Services, you grant AgentVoice a worldwide, royalty-free license to use, reproduce, and display your content solely for the purpose of providing the Services.
6. Disclaimer of Warranties
Except as expressly stated herein, the Services are provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, AgentVoice disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. AgentVoice does not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
7. Limitation of Liability
To the maximum extent permitted by law, AgentVoice shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
- Your use or inability to use the Services.
- Any unauthorized access to or use of our servers and/or any personal information stored therein.
- Any interruption or cessation of transmission to or from the Services.
- Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Services by any third party.
8. Indemnification
You agree to indemnify, defend, and hold harmless AgentVoice, its affiliates, officers, agents, and employees from any claim, demand, damages, losses, or expenses, including reasonable attorneys’ fees, arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
9. Termination
AgentVoice reserves the right to suspend or terminate your access to the Services at any time, with or without cause or notice, effective immediately. Upon termination, your right to use the Services will immediately cease.
10. Changes to Terms
AgentVoice reserves the right to modify these Terms at any time. We will provide notice of such changes by posting the updated Terms on our website. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
11. Governing Law & Venue
These Terms and any dispute arising out of or in connection with them are governed by the laws of the State of Texas, without regard to its conflict of law principles. Any legal action, suit, or proceeding arising out of or relating to these Terms shall be instituted exclusively in the state or federal courts located in Travis County, Texas, and each party irrevocably submits to the jurisdiction of such courts.
12. Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
