Terms of Service

These Terms of Service (“Terms”) govern access to and use of the products, software, and services provided by AgentVoice, LLC, a Texas limited liability company (“AgentVoice,” “we,” “us,” or “our”), including our website and AI voice platform (collectively, the “Services”).

By creating an account, starting a free trial, or using the Services in any way, you (“User,” “you,” or “your”) agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

1. Relationship to Other Agreements

If you or your organization have executed an Order Form or other written agreement with AgentVoice that references the AgentVoice Master Subscription and Services Agreement (MSA), that MSA governs your paid subscription and supersedes any conflicting terms in these Terms. These Terms apply to all other Users, including free-trial and self-service accounts.

2. Services Provided

2.1 Platform Access

AgentVoice provides a platform for creating and managing AI voice agents, including access to APIs and integrations with third-party providers such as Twilio.

2.2 Professional Services

For enterprise or custom engagements, AgentVoice may provide implementation, setup, or specialized services. Such services will be described in a separate written agreement or Order Form.

3. User Responsibilities

3.1 Compliance with Laws

Users must comply with all applicable laws, including the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule (TSR), and any state or international equivalents. This includes obtaining prior express written consent before making automated or prerecorded calls and honoring the National Do Not Call Registry.

SMS Communications: If you choose to receive text messages from AgentVoice, such messaging is governed by the SMS Communications & Consent section of our Privacy Policy. You may opt out of non-essential SMS messages at any time. Transactional and security-related SMS messages may still be sent as necessary to protect your account.

3.2 AI-Generated Voice Disclosure (Outbound Calls)

Under the FCC Declaratory Ruling FCC 24-17, AI-generated voices are classified as “artificial or prerecorded voices” under the TCPA.

  • Consent Requirement: Users must obtain prior express consent before initiating calls with AI-generated voices, unless an exemption applies.
  • Caller Identification: 47 C.F.R. § 64.1200(b)(1) requires callers using an artificial or prerecorded voice to clearly state their identity at the beginning of the message.
  • Disclosure of AI Usage: The FCC has proposed rules requiring disclosure of AI use at the beginning of a call and explicit consent to AI interaction. Users are responsible for complying with such rules once effective.

3.3 Prohibited Conduct

You may not:

  • Use the Services for fraudulent, deceptive, or unlawful activity.
  • Impersonate others without consent.
  • Interfere with, disrupt, or harm the integrity or performance of the Services.

3.4 International Number Usage and Regional Compliance

You are solely responsible for compliance with all laws and telecom requirements in every jurisdiction where you obtain or use phone numbers, place calls, or reach recipients. This includes, but is not limited to:

  • Providing required address verification or documentation for local numbers.
  • Complying with business-registration requirements in regions such as Mexico, Brazil, Singapore, Hong Kong, Japan, or Israel.
  • Adhering to regional telecom and privacy regulations (e.g., GDPR/ePrivacy, PECR, CASL, Spam Act 2003). You represent and warrant that you have all necessary licenses, maintain required records of consent, and will stop using the Services where prohibited.

3.5 Disclaimer of Liability for International Usage

AgentVoice provides the technical platform only. We do not provide legal advice. You are solely responsible for compliance with telecommunications laws in any country where you use the Services.

3.6 Service Restrictions and Suspension

AgentVoice may restrict or suspend Services to specific regions or numbers, request documentation, or terminate usage we believe violates law or provider terms.

3.7 Account Security

You are responsible for safeguarding your user credentials and for all activity under your account. Notify AgentVoice immediately of any unauthorized access.

4. Payment Terms

4.1 Subscription Fees

Access to the Services is provided on a subscription basis. Fees and billing terms appear in your online account or Order Form.

4.2 Payment Method

You authorize AgentVoice to charge your designated payment method for all applicable fees.

4.3 Late Payments

Failure to pay may result in suspension or termination. AgentVoice may charge lawful late fees or interest.

5. Intellectual Property

5.1 Ownership

AgentVoice retains all rights, title, and interest in and to the Services, including all related intellectual property.

5.2 User Content

You retain ownership of any content you create or upload. You grant AgentVoice a limited, worldwide, royalty-free license to use your content solely to provide and improve the Services.

6. Confidentiality

AgentVoice will handle your data in accordance with its Privacy Policy. For enterprise customers, additional confidentiality obligations are contained in the MSA. Both parties agree to take reasonable steps to protect non-public information shared through the Services.

7. Disclaimer of Warranties

Except as expressly stated, the Services are provided “AS IS” and “AS AVAILABLE.” AgentVoice disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

8. Limitation of Liability

To the maximum extent permitted by law:

  • AgentVoice is not liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill.
  • For Users without a signed MSA, AgentVoice’s total liability arising from these Terms will not exceed $100.
  • For Users with a signed MSA, the liability limits in the MSA apply.

9. Indemnification

You agree to indemnify and hold harmless AgentVoice, its affiliates, and employees from any claim or demand arising out of your (a) use of the Services, (b) violation of these Terms, or (c) violation of any law or third-party rights. If you are a paying customer under an executed MSA, the indemnification provisions in that MSA will control instead.

10. Termination

AgentVoice may suspend or terminate access to the Services at any time, with or without cause or notice. Upon termination, your right to use the Services ceases immediately. For paying customers, termination rights and procedures are governed by the MSA.

11. Changes to Terms

We may update these Terms by posting a revised version with a new “Last updated” date. Continued use of the Services after updates constitutes acceptance of the new Terms.

12. Governing Law & Venue

These Terms and any dispute arising from them are governed by Texas law, with exclusive venue in Travis County, Texas.

13. Severability

If any provision of these Terms is held invalid or unenforceable, the remainder remains in effect.
